Term Of Services

4.1 Authority to Offer a Vacation Stay

You lawfully control the right to offer the listed vacation stay and may transfer that right to a Traveler in compliance with all applicable agreements, resort rules, homeowners’ association requirements, exchange program rules, and applicable laws.

4.2 Accuracy of Listings

All listing information is accurate, complete, and not misleading, including location, accommodation type, unit characteristics, occupancy limits, dates, amenities, restrictions, and required guest registration procedures.

4.3 Availability and Reservation Status

You will only list vacation stays you can deliver. If availability depends on points systems, floating inventory, exchange approval, or future confirmation, such conditions must be clearly disclosed.

4.4 Compliance

You are solely responsible for full compliance with all obligations, restrictions, and requirements applicable to the vacation stay, including but not limited to:

• Resort, homeowners’ association (HOA), club, exchange program, or management company rules
• Contractual limitations on use, rental, guest occupancy, or transferability
• Guest registration, name-change, or occupancy authorization requirements
• Check-in, check-out, identification, security deposit, and conduct policies
• Local, state, federal, and international laws and regulations governing lodging, short-term stays, accommodations, or occupancy rights
• Consumer protection, advertising, and disclosure requirements applicable to listings
• Any restrictions imposed by zoning, land-use rules, or private governing documents

You acknowledge and agree that:

• TempusX does not monitor, verify, or enforce compliance on your behalf
• TempusX does not determine whether a vacation stay may be lawfully offered
• Any failure to comply may result in cancellation, penalties, denial of access, or legal liability solely attributable to you

4.5 Taxes, Licensing, and Registration

You acknowledge and agree that you are solely and exclusively responsible for identifying, determining, calculating, collecting, reporting, and remitting all taxes, fees, assessments, or charges of any kind that may apply to your listing, the vacation stay, or any agreement with a Traveler, including but not limited to:

• Lodging, occupancy, transient, hotel, or accommodation taxes
• Sales, use, excise, value-added (VAT), or goods and services taxes (GST)
• Tourism, convention, or destination marketing fees
• Local, municipal, state, federal, or international taxes or assessments
• Penalties, interest, or late fees arising from non-compliance

You are also solely responsible for determining and complying with any licensing, registration, permitting, or reporting obligations imposed by governmental authorities, tax agencies, or private governing bodies.

You expressly acknowledge and agree that:

• TempusX does not determine whether any tax applies to your listing or transaction
• TempusX does not calculate, collect, withhold, remit, or report taxes on your behalf
• TempusX does not provide tax, accounting, or legal advice
• Any tax-related information made available on the Platform is general in nature, may be incomplete or outdated, and must not be relied upon
• TempusX does not represent or warrant compliance with tax laws by any user

Any audits, inquiries, penalties, fines, assessments, or enforcement actions by tax authorities or other governmental entities are solely your responsibility, and you agree to defend, indemnify, and hold harmless TempusX from any claims, liabilities, or costs arising from your tax obligations or failures.

4.6 Delivery of Use Rights

You are solely responsible for the proper, complete, and timely delivery of the vacation stay use rights to the Traveler, including all actions necessary to enable lawful access and occupancy. This responsibility includes, without limitation:

• Securing, confirming, and maintaining the underlying reservation, booking, or usage right
• Completing all required guest name changes, assignments, confirmations, or registrations
• Providing accurate check-in instructions, confirmation numbers, and access credentials
• Ensuring compliance with all resort, property, or program requirements for guest occupancy
• Addressing any restrictions on transferability, guest usage, or occupancy imposed by governing documents
• Resolving any issues related to reservation errors, cancellations, overbookings, or denials of access

You acknowledge and agree that:

• TempusX does not control, manage, or deliver vacation stays
• TempusX does not verify successful delivery of use rights
• TempusX does not guarantee that a Traveler will be granted access or occupancy
• Any failure to deliver use rights, denial of access, modification, downgrade, or cancellation is solely your responsibility

You are solely responsible for any refunds, reimbursements, alternative accommodations, damages, or other remedies owed to a Traveler arising from a failure to deliver use rights, and you agree to defend, indemnify, and hold harmless TempusX from any claims, losses, or liabilities related thereto.

5.1 Independent Due Diligence

You are solely responsible for independently reviewing, evaluating, and confirming all aspects of any listing and proposed stay before entering into any agreement with an Owner, including but not limited to:

• Accommodation type, size, view, location, and amenities
• Dates, length of stay, and occupancy limits
• Resort, property, or program rules and restrictions
• Cancellation, modification, refund, and forfeiture terms
• Any limitations on transferability or guest use

You acknowledge that TempusX does not verify listings, guarantee accuracy, or assess suitability for your needs.

5.2 Assumption of Risk

You acknowledge that vacation stays offered through the Platform may be subject to restrictions, changes, or denials imposed by resorts, property managers, or governing bodies, and you voluntarily assume all risks associated with entering into agreements with Owners.

5.3 Payments and Financial Responsibility

All payments, deposits, refunds, credits, chargebacks, and financial arrangements are made directly between you and the Owner.

You acknowledge and agree that:

• TempusX does not process, hold, escrow, or guarantee payments
• TempusX is not responsible for refunds, reimbursements, or pricing disputes
• Any payment disputes must be resolved directly with the Owner

5.4 Compliance During Stay

You agree to comply with:

• All resort, property, homeowners’ association, or program rules
• Occupancy limits, conduct policies, and check-in/check-out requirements
• All applicable local, state, federal, and international laws

You are responsible for the conduct of all occupants and guests associated with your stay.

5.5 Guest Registration and Identification

You are responsible for timely providing accurate guest information, identification, and documentation required for check-in or occupancy, and for complying with any name-change, registration, or authorization procedures.

5.6 Changes, Cancellations, and Denials of Access

You acknowledge and agree that:

• Modifications, cancellations, downgrades, or denials of access may occur due to Owner actions, resort rules, or third-party decisions
• TempusX does not control or guarantee access or occupancy
• Any remedies, refunds, or alternative accommodations are the sole responsibility of the Owner

5.7 No Reliance on Platform Statements

You agree that:

• You do not rely on TempusX for advice, recommendations, guarantees, or assurances regarding listings or stays
• Any reliance on optional ancillary services is at your own risk and does not replace independent evaluation

5.8 Dispute Responsibility

Any disputes related to listings, payments, access, quality, or delivery of a vacation stay must be resolved directly with the Owner. TempusX has no obligation to investigate, adjudicate, or resolve such disputes.

6.1 Nature of Services

TempusX may offer optional, user-requested services that are ancillary to the core listing and discovery Platform (“Ancillary Services”), which may include document review, ownership or reservation documentation checks, or other informational services.

Ancillary Services are optional and not required to use the Platform.
They do not alter TempusX’s role as a listing and discovery service only.

6.2 No Guarantee; Informational Use Only

You acknowledge and agree that Ancillary Services:

• Are limited in scope and informational only
• Do not constitute legal, tax, or financial advice or insurance
• Do not create any certification, endorsement, warranty, or guarantee

TempusX does not guarantee:

• The validity, enforceability, or completeness of any document or agreement
• A user’s authority to offer or occupy a vacation stay
• That any transaction will occur or be completed
• That disputes, losses, or fraud will be prevented

Ancillary Services do not replace independent due diligence.

6.3 User Responsibility and Reliance

You are solely responsible for:

• Providing accurate and complete information and documentation
• Independently verifying all material aspects of any listing or transaction
• Determining whether to proceed with any agreement or payment

Any reliance on Ancillary Services is at your own risk.

6.4 No Agency or Fiduciary Relationship

Ancillary Services do not create any agency, partnership, fiduciary, brokerage, escrow, or representative relationship.
TempusX does not negotiate, draft, approve, interpret, or enforce agreements between users.

6.5 Fees for Ancillary Services

Ancillary Services may be offered for a disclosed fee.
Unless expressly stated otherwise in writing, such fees are non-refundable and not contingent on transaction outcomes.

6.6 Limitation of Liability (Ancillary Services)

TempusX’s total liability related to Ancillary Services shall not exceed the amount paid for the specific Ancillary Service giving rise to the claim.
