KEY MODEL. TempusX is an exchange, listing, discovery, verification-status, and communication platform. It does not execute Owner-Traveler stay transactions, process stay payments, act as escrow, or guarantee a stay.
These Terms of Service (the “Terms”) govern access to and use of the TempusX website, portals, applications, dashboards, messaging tools, verification workflows, and related services (collectively, the “Platform”) operated by TempusX, LLC (“TempusX,” “we,” “us,” or “our”).
By accessing the Platform, creating an account, selecting the acceptance checkbox, purchasing a plan or service, submitting information, publishing a Listing, sending an Inquiry, or otherwise using the Platform, you agree to these Terms and all policies incorporated by reference.
Owners are also subject to the TempusX Owner Terms of Service (“Owner Terms”).
Travelers are also subject to the TempusX Traveler Terms of Service (“Traveler Terms”).
Personal-data practices are described in the TempusX Privacy Policy.
Owner contract submissions, review procedures, statuses, badges, and re-verification are also governed by the TempusX Contract Verification Policy (“Contract Verification Policy”).
Plan-specific, promotional, or purchase terms displayed at checkout are incorporated into these Terms for the applicable purchase.
If a supplemental term conflicts with these Terms on a role-specific issue, the applicable Owner Terms or Traveler Terms control. If you do not agree, do not use the Platform.
Owner. A person or entity that claims lawful control of vacation-accommodation use rights and seeks to publish availability or communicate with Travelers.
Traveler. A person who browses, saves, searches for, or inquires about vacation stays, whether as a visitor, registered user, or paid subscriber.
Listing. Owner-submitted information describing claimed vacation-stay availability, including dates, unit characteristics, restrictions, price, photos, and related terms.
Inquiry. A request or message sent through the Platform about a Listing or desired stay. An Inquiry is not a booking, reservation, rental agreement, or payment authorization.
Stay Agreement. Any agreement made directly between an Owner and a Traveler concerning use of a vacation accommodation. TempusX is not a party to a Stay Agreement.
Verification Status. A limited Platform status indicating that a defined review step was completed. A Verification Status is not an endorsement, insurance policy, warranty, or guarantee.
Confirmed Reservation Indicator. A status shown only when TempusX has received and accepted documentation that appears to reference particular dates. It does not guarantee delivery, resort recognition, access, or occupancy.
TempusX provides a traveler-centric exchange and technology platform through which Owners may publish vacation-stay availability and Travelers may discover Listings and communicate with Owners.
TempusX is not a marketplace operator that executes or completes Owner-Traveler transactions. TempusX does not:
own, operate, manage, lease, rent, control, inspect, or deliver vacation accommodations;
act as a real-estate broker, travel agent, property manager, exchange company, escrow agent, payment processor, insurer, fiduciary, guarantor, or representative of any user;
set or negotiate Owner-Traveler prices, deposits, cancellation terms, refunds, or other Stay Agreement terms;
process, collect, hold, transfer, disburse, or guarantee Owner-Traveler stay payments;
make, approve, or guarantee a booking, reservation, access right, occupancy, refund, or traveler outcome; or
monitor, supervise, or enforce resort, homeowners’ association, vacation-club, exchange-program, or property rules on behalf of users.
All Stay Agreements, payments, taxes, performance obligations, access arrangements, and disputes are solely between the Owner and Traveler and any applicable third party. Platform records labeled “Inquiry,” “stay history,” “reservation details,” or similar terms are informational records unless expressly identified as a TempusX verification status.
You must be at least eighteen (18) years old and able to form a legally binding contract. You must provide accurate, current, complete, and lawful information, including your legal name and a valid email address, and complete any required email verification.
Certain features require a registered account, a particular subscription, and/or completion of verification.
An individual acting as both an Owner and Traveler may have separate role profiles. TempusX may link those profiles internally for security, support, billing, and account administration.
You are responsible for safeguarding credentials and all activity under your account. Notify TempusX promptly of unauthorized access.
A legal-name change, material account change, suspected fraud, or mismatch between verification information and submitted documents may require additional documentation or re-verification.
You may not sell, transfer, share, or allow another person to use your account or Verification Status without written authorization from TempusX.
Identity verification is required before an Owner may publish Listings and before a Traveler may use features that contact Owners, unless TempusX expressly provides a different limited-access flow. Verification may be performed by Stripe Identity or another third-party provider.
If verification fails, remains incomplete, produces a mismatch, or requires additional review, TempusX may restrict the affected feature, request supporting documents, direct the user to the verification provider, or require re-verification. Payment of a fee does not guarantee approval.
Subject to the Owner Terms and Contract Verification Policy, TempusX may require an Owner to submit an ownership, membership, use-right, bonus-use, or reservation document before a Listing is published. TempusX’s review is limited to determining, based on the document’s face and information reasonably available to TempusX, whether the document appears to:
relate to the identified resort group, property, program, or claimed use right;
identify or reasonably correspond to the submitting Owner or Owner account; and
be current, active, or not facially expired at the time of review.
TempusX does not verify that Listing details match an Owner’s contract. TempusX does not authenticate documents with the issuer unless an expressly disclosed verification step states otherwise, and does not guarantee legal ownership, authority to transfer, validity, enforceability, availability, listing accuracy, reservation performance, or Traveler outcomes.
A badge or Verification Status is issued only after the applicable validation step is completed, not merely because a fee was paid. TempusX may withhold, condition, expire, suspend, or revoke any status and may require periodic or event-driven re-verification. Status labels identify a limited completed process; they are not endorsements or guarantees.
Resorts, resort descriptions, amenities, third-party rules, and general property pages are not “verified” by TempusX merely because they appear on the Platform. Only a specific user, document, Listing attribute, or reservation indicator may be described as verified or confirmed, and only within the scope expressly stated.
TempusX may charge fees for subscriptions, Listing publication, contract review, verification support, featured placement, or other Platform features. Current prices, billing periods, included features, limits, taxes, and any non-refundable terms are displayed at the time of purchase and control for that purchase.
Platform fees are separate from all amounts an Owner and Traveler agree to pay each other for a stay.
TempusX does not charge a commission or booking fee on an Owner-Traveler stay unless a future service expressly discloses otherwise before purchase.
A resort, club, association, document issuer, or verification provider may charge separate fees. Unless expressly stated, those fees are the user’s responsibility.
Payments to TempusX are processed by a third-party payment processor. TempusX does not store full payment-card or bank-account numbers.
When a plan is sold as recurring, it renews for the disclosed billing period until canceled. You authorize the processor to charge the applicable renewal amount and taxes using the payment method on file.
You may cancel through available account controls or by contacting TempusX before the next renewal. Unless law or the purchase terms require otherwise, cancellation stops future renewals and access continues through the paid period; partial-period refunds are not provided.
TempusX may change future pricing or plan features with notice required by applicable law. A price change does not alter an already completed one-time purchase.
Owners are solely responsible for Listing content, accuracy, availability, pricing, occupancy limits, restrictions, check-in requirements, mandatory start days, guest-registration requirements, photos, and timely updates. Owners must ensure each Listing is consistent with their actual rights and applicable governing documents.
TempusX may display resort or unit information gathered from official resort, owner, member, vacation-club, or other public sources. This source-derived information is provided for discovery and may be incomplete, outdated, changed by the third party, or different from a specific Owner’s use right. Display of a resort, brand, trademark, amenity, image, or link does not imply affiliation or endorsement.
Search results, filters, availability ordering, recommendation labels, and other ranking features are automated or rules-based discovery tools. They do not constitute advice, endorsement, a quality rating, or a guarantee of availability. A result may be excluded or reordered based on dates, guest count, Listing type, unit size, plan features, or other product logic.
An Inquiry may include the requested date range, number of guests, destination, unit preference, flexible-date information, and user message. Sending or receiving an Inquiry does not create a booking or Stay Agreement. A Confirmed Reservation Indicator is limited to the specific documentation reviewed and does not guarantee access, occupancy, or performance.
You retain ownership of content you submit. You grant TempusX a non-exclusive, worldwide, royalty-free, sublicensable license to host, reproduce, format, display, distribute, and use that content as reasonably necessary to operate, secure, improve, and promote the Platform and the applicable Listing, subject to the Privacy Policy and your selected settings.
You represent that you own or have all rights and permissions needed to submit the content.
Do not upload documents or images containing unnecessary Social Security numbers, full financial-account information, unrelated personal information, or other sensitive data.
TempusX may remove, restrict, redact, or decline content that violates law, third-party rights, Platform rules, or security requirements.
TempusX and its licensors own the Platform software, branding, designs, and non-user content. No rights are granted except the limited right to use the Platform under these terms.
The Platform may facilitate messages between Owners and Travelers. Users must communicate lawfully, accurately, and professionally and must not send spam, harassment, threats, discriminatory content, fraudulent requests, malware, payment credentials, or unrelated sensitive information.
TempusX does not have a general duty to monitor all communications. TempusX may access, preserve, and review a message or an entire reported conversation when reasonably necessary for user support, safety, fraud prevention, policy enforcement, legal compliance, investigation of a report, or discretionary dispute facilitation. TempusX may record report reasons, free-form details, evidence, review status, and administrative actions.
A report does not require TempusX to take a particular action. TempusX may reject a report, request more information, restrict communication, remove content, suspend an account, preserve evidence, or refer a matter to authorities or service providers when appropriate.
You may not use the Platform to:
provide false, misleading, fraudulent, outdated, or impersonated information;
list a stay or use right without lawful authority or in violation of resort, club, association, program, or legal restrictions;
misrepresent a Verification Status, confirmation, price, availability, identity, document, or affiliation;
circumvent verification, plan limits, communication controls, reporting tools, or security safeguards;
harass, threaten, discriminate against, exploit, stalk, defraud, or spam another person;
scrape, harvest, copy, reverse engineer, disrupt, overload, probe, or gain unauthorized access to the Platform or data;
upload malicious code, unlawful content, infringing content, or sensitive data without a lawful and necessary purpose;
use Platform information to build a competing database or service without written permission; or
violate applicable law, sanctions, export restrictions, or third-party rights.
The Platform may integrate with or link to identity providers, payment processors, analytics services, email providers, cloud vendors, resorts, associations, clubs, and other third parties. Third-party services are governed by their own terms and privacy practices. TempusX does not control or guarantee their availability, decisions, content, fees, or performance.
Required verification steps described in Section 5 are core eligibility controls for specified Platform features. TempusX may also offer optional, user-requested ancillary services, such as additional document or reservation review, support, or informational assistance.
All review and ancillary services are limited in scope and informational only. They do not constitute legal, tax, accounting, financial, insurance, travel-agent, brokerage, escrow, or fiduciary services. They do not certify a document, prevent fraud, replace due diligence, or guarantee a Stay Agreement, payment, refund, access, occupancy, or outcome. Unless otherwise stated, a fee is not contingent on approval or transaction success.
You agree to receive account, verification, billing, security, support, Inquiry, and other service-related communications electronically. Marketing communications are subject to applicable consent and opt-out requirements. Creating an account does not itself constitute consent to marketing where separate consent is required. You may opt out of marketing messages without opting out of essential service communications.
TempusX may investigate, limit, suspend, unpublish, remove, or terminate an account, Listing, Verification Status, message, or feature when TempusX reasonably believes there is fraud, nonpayment, a security risk, a legal or policy violation, inaccurate information, misuse, risk to users, or a need to protect the Platform. TempusX may require corrective action or re-verification before reinstatement.
You may stop using the Platform and may request account closure. Termination does not eliminate accrued payment obligations, completed purchases, rights needed to preserve evidence or comply with law, or provisions that by their nature should survive, including intellectual property, disclaimers, limitations, indemnity, disputes, and governing law.
Owners and Travelers are solely responsible for resolving disputes concerning Listings, communications, payments, refunds, cancellations, access, quality, damages, taxes, or performance. TempusX has no duty to investigate, adjudicate, enforce, reimburse, or resolve a user dispute.
TempusX may, in its sole discretion, review relevant Platform records, request information, relay communications, or provide non-binding administrative assistance. Unless TempusX separately agrees in writing, it is not a mediator, arbitrator, fact finder, decision-maker, or representative of either party, and its assistance does not waive any disclaimer or guarantee an outcome. Users may independently agree to non-binding mediation at their own cost.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, LISTINGS, SOURCE-DERIVED RESORT INFORMATION, VERIFICATION STATUSES, CONFIRMED INDICATORS, MESSAGES, REPORTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TEMPUSX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
TEMPUSX DOES NOT WARRANT THAT A LISTING OR DOCUMENT IS AUTHENTIC, ACCURATE, COMPLETE, LEGAL, AVAILABLE, TRANSFERABLE, OR ENFORCEABLE; THAT AN OWNER HAS AUTHORITY; THAT A TRAVELER WILL PAY OR COMPLY; THAT A RESORT WILL HONOR A RESERVATION; THAT ACCESS OR OCCUPANCY WILL OCCUR; OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMPUSX AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, DATA, USE, GOODWILL, OR OPPORTUNITY; OR LOSSES ARISING FROM A LISTING, STAY AGREEMENT, PAYMENT, REFUND, CANCELLATION, DENIED ACCESS, RESORT ACTION, THIRD-PARTY SERVICE, USER CONTENT, MESSAGE, REPORT, OR VERIFICATION STATUS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMPUSX’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO TEMPUSX DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED AND DO NOT EXCLUDE LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
You agree to defend, indemnify, and hold harmless TempusX and its affiliates, members, managers, officers, employees, agents, and service providers from claims, demands, proceedings, damages, losses, liabilities, penalties, taxes, fines, costs, and reasonable attorneys’ fees arising from or related to your content, account, Listing, Inquiry, Stay Agreement, payment, use right, conduct, violation of these terms, violation of law or third-party rights, or dispute with another user.
these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any legal action between you and TempusX arising from these Terms or the Platform must be brought in a state or federal court located in Texas, and each party consents to personal jurisdiction and venue there, except where applicable law requires otherwise.
TempusX may update these Terms. Material changes will be communicated by a method reasonably calculated to provide notice, such as posting the updated terms, updating the effective date, email, or an in-product notice. Where affirmative acceptance is legally required, TempusX will request it. Continued use after the effective date constitutes acceptance to the extent permitted by law.
Entire Agreement. these Terms, incorporated policies, and applicable purchase terms are the entire agreement between you and TempusX concerning the Platform.
Severability. If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions continue.
No Waiver. Failure to enforce a provision is not a waiver.
Assignment. You may not assign your rights without written consent. TempusX may assign these terms in connection with a merger, financing, reorganization, or transfer of business or assets.
No Third-Party Beneficiaries. These terms do not create rights for third parties except indemnified parties.
Headings. Headings are for convenience and do not limit interpretation.
Electronic Records. Electronic acceptance and records have the same effect as paper originals to the extent permitted by law.
